Code of Ethics

1. Purpose & Scope
The Tayo Clinic (“the Clinic”) is committed to operating in a manner that upholds the highest standards of integrity, compliance, and respect. This Code of Ethics (“Code”) applies to:
- Staff (employees, contractors)
- Board Members
- Volunteers
These individuals are collectively referred to as “Covered Persons.”
Note: This Code does not supersede laws or regulations. All Covered Persons must comply with applicable local, state, and federal laws, including HIPAA and other healthcare regulations.
2. Ethical Conduct Requirements
- Respect and Professionalism
- Treat patients, colleagues, and community members with dignity, fairness, and courtesy.
- Avoid harassment, discrimination, or conduct that creates a hostile environment.
- Legal Compliance
- Abide by all laws and regulations relevant to the Clinic’s operations, especially telehealth, patient privacy, and charitable organizations.
- Financial Stewardship
- Use the Clinic’s funds and resources prudently and solely for the Clinic’s charitable mission.
- Follow established financial controls; never misappropriate or misuse Clinic assets.
- Patient Privacy & Confidentiality
- Safeguard protected health information (PHI) and adhere to HIPAA.
- Maintain confidentiality of internal information like financial data, board discussions, and other sensitive matters.
- Conflict of Interest Disclosure
- Comply with the Clinic’s Conflict of Interest Policy by disclosing any personal interests or relationships that could influence decisions.
- Refrain from using one’s position for personal gain.
3. Reporting Concerns
- Reporting Channels:
- Executive Director: Primary contact for ethical concerns.
- Board Chair: For issues involving the ED or requiring board-level review.
- Confidentiality: Reasonable steps will be taken to protect the identity of those reporting in good faith.
- Timeliness: Concerns should be reported within 30 days of discovery.
4. Enforcement & Penalties
- Covered Persons must act in good faith.
- Violations will be investigated by impartial parties (ED, Board Chair, or delegate).
- Possible consequences:
- Verbal or written warning
- Suspension or removal (staff or volunteer)
- Termination
- Referral for legal or administrative action
5. Non-Retaliation
The Clinic prohibits retaliation against individuals who report concerns in good faith.
6. Acknowledgment
- Signature Required: All Covered Persons must sign a form acknowledging they’ve read and understand the Code.
- No Mandatory Training: Training is not required, but individuals are encouraged to consult the ED or Board Chair with questions.
7. Policy Oversight & Updates
- The Board of Directors must formally approve this Code.
- It will be reviewed every two years or as needed based on legal or operational changes.
